Affiliate Programme Terms & Conditions

  1. What is the Affiliate Programme?
    1. The Affiliate Programme rewards people when they recruit new paying members to VC Crowd.
    2. Anyone can apply to participate in the VC Crowd Affiliate Programme, irrespectively of whether you are a member of the Club paying a monthly membership fee (a “Club Member”), or a member of the Club who has ceased to pay the monthly membership fee (a “Non-Paying Member”), or if you are not a member of the Club but has become a member of the VC Crowd Affiliate Programme by application on our web site (an “Affiliate Member”). A Club Member, a Non-Paying Member or an Affiliate Member will be collectively referred to as a “Member” or an “Affiliate”.
    3. A Member can earn Bonus share entitlements in one or more of the companies that the Club supports (“Bonus Shares”) and a commission on membership fees paid by new Members invited by the Affiliate as further outlined below.
    4. There are three tiers in the Affiliate Programme.
    5. In order to qualify to the higher tiers of the Affiliate Programme, Affiliates must satisfy additional criteria as set forth below.
  2. Affiliate Programme Tier 1
    1. When a Member (the “Inviting Member”) invites another person by sharing an Invite under the Affiliate Programme Tier 1 and this person creates an account with the Club and pays their membership fee (the “Invited Member”), each of the Invited Member and the Inviting Member will receive bonus share entitlements in one or more of the companies that the Club supports (“Bonus Shares”). The Invited Member and the Inviting Member will receive the same type and number of Bonus Shares. The Bonus Shares will be allocated immediately to the Invited Member when payment of the membership fee is made. The Inviting Member will receive their Bonus Shares 7 days after the Invited Member pays their membership fee.
    2. The type and amount of Bonus Shares an Inviting Member and Invited Member receive are selected randomly from the Club’s inventory of shares held for the Affiliate Programme. There is an approximately 94% chance of the Bonus Shares having a value of €10, an approximately 3% chance of the Bonus Shares having a value of €20, an approximately 2% chance of the Bonus Shares having a value of €50, an approximately 1% chance of the Bonus Shares having a value of €100, and an approximately 0.5% chance of the Bonus Shares having a value of €300.
    3. In addition to the Bonus Shares, the Inviting Member will receive a Commission (the Affiliate Tier 1 Commission) equal to 10% (ten percent) on all membership fees paid by the invited paying members such Inviting Member has directly invited (each an Invited Paying Member).
  3. Affiliate Programme Tier 2
    1. When an Inviting Member in the Affiliate Programme Tier 1 has successfully invited ten Invited Paying Members, such Inviting Member will automatically enter the second tier of the Affiliate Programme (the Affiliate Programme Tier 2).
    2. As long as the Inviting Member continues to fulfil the Affiliate Programme Tier 2 criteria as set forth in Section 5, the Inviting Member will receive a Commission (the Affiliate Tier 3 Commission) equal to 15% (fifteen percent) on all membership fees paid by the Invited Paying Members.
    3. The Inviting Member under the Affiliate Programme Tier 2 will be entitled to receive the Bonus Shares as stipulated in Section 2 above in addition to the Affiliate Tier 2 Commission.
  4. Affiliate Programme Tier 3
    1. When an Inviting Member in the Affiliate Programme Tier 2 has successfully invited thirty Invited Paying Members, such Inviting Member will automatically enter the third tier of the Affiliate Programme (the Affiliate Programme Tier 3).
    2. As long as the Inviting Member continues to fulfil the Affiliate Programme Tier 3 criteria as set forth in Section 5, the Inviting Member will receive a Commission (the Affiliate Tier 3 Commission) equal to 20% (twenty percent) on all membership fees paid by the Invited Paying Members.
    3. The Inviting Member under the Affiliate Programme Tier 3 will be entitled to receive the Bonus Shares as stipulated in Section 2 above in addition to the Affiliate Tier 3 Commission.
  5. Summary of Tier Requirements 
    1. For each tier, Inviting Member must maintain the following numbers of Paying Members (Minimum Required Paying Members)
      Tier 2:   10 Paying Members
      Tier 3:   30 Paying Members
    2. If an Inviting Member goes below these levels a Grace Period will be implemented in order for the inviting Member to restore the Minimum Required Paying Members. The Grace Periods for the different tiers are as follows:
      Tier 2:   1 month
      Tier 3:   2 weeks 
    3. During the Grace Period the Inviting Member will continue to receive commission based on their existing tier. If at the end of the Grace Period the Inviting Member has restored the level of Required Paying Members the Inviting Member will continue in their existing tier.
    4. If at the end of the Grace Period, the Inviting Member has not managed to restore the Minimum Required Paying Members, the Inviting Member will be excluded from their existing tier and moved to the tier below.
    5. If a Member has been moved to the tier below and subsequently, restores the Required Minimum Paying Members, such Member will again automatically be moved to the tier above.
  6. Changes to the Conditions or Cancellation of the Programme
    1. The Club reserves the right to cancel the Affiliate Programme or to make any amendments to the Conditions at any time and as the Club deems necessary in its own discretion and without notice.
    2. Any Bonus Shares or Commissions already earned by Members under the Conditions prior to a cancellation of the Affiliate Programme shall not be affected by such cancellation.
  7. Others
    1. The Club does not take responsibility for any tax payable by a Member related to the Affiliate Programme. Consult with your tax advisor about the appropriate tax treatment for the Affiliate Programme and any tax implications associated with receipt of Commissions.
    2. The receipt of Bonus Shares in accordance with these Conditions does not constitute a solicitation or a recommendation to buy, sell, or hold the Bonus Shares. The Club does not provide investment advice and does not hereby make any recommendations any Bonus Shares.
